Job Overview – Associate General Counsel (Hedge Funds):
Step into a vital role with our client as Associate General Counsel (Hedge Funds) in Austin, Texas, supporting the Legal & Compliance Department. Reporting to the General Counsel and Chief Compliance Officer, you’ll handle key legal and compliance responsibilities to ensure regulatory adherence and drive firm growth in a dynamic hedge fund environment.
Total Compensation: $225,000/year (All-In)
Location: Austin, TX
Schedule: Monday to Friday (In-Office)
Responsibilities as the Associate General Counsel (Hedge Funds):
- Contract Negotiation: Draft and negotiate sub-advisory agreements, prime brokerage agreements, NDAs, service provider agreements, and other contracts.
- Regulatory Filings: Update and revise offering materials and SEC filings to ensure compliance with applicable regulations.
- Board Support: Provide legal support to the Board of Directors and internal committees, ensuring proper documentation and guidance.
- Legal Advisory: Serve as a legal advisor across various departments, addressing corporate and compliance matters.
- Due Diligence: Prepare and review responses to Due Diligence Questionnaires (DDQs).
- Corporate Matters: Provide guidance on general corporate legal matters as needed.
Qualifications for the Associate General Counsel (Hedge Funds):
- Education: Juris Doctor (JD) from an accredited law school required.
- Licensure: Active State Bar membership in good standing required.
- Experience: 3-7 years as an Investment Management Attorney at a top-tier law firm or in-house counsel at a hedge fund.
- Expertise: Proficient in drafting and reviewing complex, multi-jurisdictional investment management agreements.
- Regulatory Knowledge: Extensive understanding of SEC regulations, particularly the Investment Advisers Act of 1940.
- Industry Knowledge: Deep familiarity with private funds and investment management principles.
