Job Overview – VP Legal Counsel (Registered Products and Global Distribution):

This leadership role offers the opportunity to advise on fund distribution strategies, ensure multi-jurisdictional legal compliance, and negotiate key agreements with brokers, placement agents, and FinTech platforms. Collaborate with internal stakeholders to navigate securities laws, oversee regulatory compliance, and stay ahead of evolving global market regulations.
Compensation: $175,000 – $200,000/year base ($250,000 All-In)
Location: New York, NY
Schedule: Monday to Friday (Hybrid)
Responsibilities as the VP Legal Counsel (Registered Products and Global Distribution):
- Fund Distribution & Legal Agreements: Draft, review, and negotiate placement agreements, distribution agreements, and intermediary contracts with brokers, FinTech platforms, and placement agents.
- Regulatory Compliance & Securities Law: Ensure fund distribution arrangements align with Investment Advisers Act, Investment Company Act, and other relevant securities laws across jurisdictions.
- Global Market Coordination: Collaborate with local counsel across Europe, Asia, and Latin America to maintain compliance with international regulations.
- Internal Stakeholder Engagement: Partner with compliance, operations, and product management teams to align legal strategies with business objectives.
- Regulatory Monitoring & Advisory: Stay informed on evolving fund distribution laws and securities regulations, providing strategic legal guidance on industry developments.
- Special Projects & Legal Initiatives: Support the legal team with high-priority initiatives, risk assessments, and ad hoc projects.
Qualifications for the VP Legal Counsel (Registered Products and Global Distribution):
- Education: Juris Doctor (JD) from an accredited law school.
- Licensure: Active bar membership in at least (1) U.S. state.
- Experience: 3-5 years of legal experience in fund distribution and regulatory compliance within an asset management firm or law firm.
- Technical Skills: Proficiency in Microsoft Office (Excel, Word, Outlook) and familiarity with legal research tools.
- Industry Knowledge: Strong understanding of broker-dealer regulations and FINRA rules preferred.
- Skills & Attributes: Strong contract negotiation, legal drafting, and analytical skills, with a solutions-oriented mindset, attention to detail, and the ability to prioritize in a fast-paced environment.
