Compensation: $300,000 – $350,000/year base ($600,000 All-In)

Atlantic Group is hiring a Transactional Attorney (Structured Finance & Securitization) in New York, NY with our client, overseeing ABS, CLO, and securitization transactions from structuring through closing. You will draft and negotiate complex agreements, advise on regulatory compliance and risk, and collaborate with deal teams, clients, and external counsel. This role is ideal for attorneys with structured finance experience who thrive in fast-paced, client-facing environments.
Responsibilities as the Transactional Attorney:
- Deal Leadership: Lead structured finance and securitization transactions across ABS, CLOs, and credit products from inception to closing.
- Document Drafting & Negotiation: Draft, review, and negotiate purchase agreements, indentures, credit agreements, custodial agreements, and related documentation.
- Client & Counsel Collaboration: Work closely with internal deal teams, institutional clients, and external counsel to drive successful execution.
- Regulatory & Risk Advisory: Advise on transaction structures, regulatory requirements, and risk management considerations.
- Timeline & Execution Management: Manage deal pipelines, ensuring documentation, approvals, and closings are completed accurately and on schedule.
- Process Improvement: Enhance transaction management processes and contribute to best practices across the legal function.
Qualifications for the Transactional Attorney:
- Education: Juris Doctor (JD) from an accredited law school required.
- Licensure: Active membership in good standing with the New York State Bar required.
- Experience: 5-10 years of legal experience at a top law firm or leading financial institution, with expertise in structured finance, ABS, CLOs, or securitizations.
- Industry Knowledge: Strong understanding of capital markets, investment structures, and the regulatory landscape impacting securitization.
- Technical Skills: Advanced legal drafting, negotiation, and transaction management skills, with the ability to handle multiple complex deals simultaneously.
- Skills & Attributes: Strong analytical, detail-oriented, and communication skills with the ability to manage deadlines and provide practical legal advice.
