Compensation: $300,000 – $350,000/year base ($600,000 All-In)

Atlantic Group is hiring a Private Equity Attorney (Transactions) in New York, NY, for our client. In this hybrid role, you’ll lead and execute private equity transactions, including acquisitions, divestitures, co-investments, and fund formations. Collaborate with deal, tax, and compliance teams to ensure efficient execution and strategic alignment. Ideal for experienced attorneys with strong private equity, M&A, and fund structuring expertise.
Responsibilities as the Private Equity Attorney (Transactions):
- Transaction Management: Lead and oversee private equity deals from negotiation to closing, including acquisitions, divestitures, and co-investments.
- Fund Documentation: Draft and negotiate fund formation, partnership, and investor agreements to ensure accuracy and compliance.
- Corporate Governance: Advise on portfolio company matters, incentive plans, and exit strategies.
- Cross-Functional Collaboration: Work closely with deal, tax, compliance, and operations teams to support efficient execution.
- Regulatory Guidance: Provide counsel on investment structures, regulations, and risk management to align with firm objectives.
Qualifications for the Private Equity Attorney (Transactions):
- Education: Juris Doctor (JD) from an accredited law school and active member of the New York State Bar in good standing.
- Experience: 8-12 years advising on private equity and M&A transactions, including fund formation, gained at a top-tier law firm or investment firm.
- Industry Knowledge: Strong understanding of the private equity lifecycle, including fund formation, portfolio management, and exit strategies.
- Skills & Attributes: Exceptional drafting, negotiation, and communication abilities, with proven capacity to manage multiple high-stakes matters independently.
- Professional Traits: Demonstrates integrity, attention to detail, and a commitment to excellence, collaboration, and long-term value creation.
