Job Overview – General Counsel (Alternative Asset Management):
Compensation: $300,000 – $350,000/year base ($600,000 – $800,000 All-In)

Schedule: Monday to Friday (Hybrid)
Atlantic Group is hiring a General Counsel (Alternative Asset Management) in Dallas, TX, for our client. This senior leadership role oversees legal, regulatory, and compliance matters across multiple entities and investment structures. The position advises executives on risk, manages outside counsel, and ensures adherence to U.S. and international regulations. Ideal for an experienced attorney with strong negotiation skills and deep expertise in asset management and investment advisory law.
Responsibilities as the General Counsel (Alternative Asset Management):
- Legal Leadership: Oversee all legal matters including fund formation, entity structuring, contracts, and investor relations.
- Regulatory Compliance: Direct compliance for SEC-registered entities, ensuring adherence to U.S. and Cayman Islands regulations.
- SMA & Documentation Oversight: Lead legal processes for SMAs and negotiate IMAs, LPAs, NDAs, ISDA/PB/CSA, and other key agreements.
- Entity Governance & Risk Management: Maintain legal consistency across complex fund structures while advising leadership on regulatory and operational risk.
- Cross-Functional Collaboration: Partner with executives and operations teams on due diligence, compliance certifications, and institutional investor engagements.
Qualifications for the General Counsel (Alternative Asset Management):
- Education: Juris Doctor (JD) required with active bar admission in Texas.
- Experience: 8-15 years of legal experience in investment management or hedge funds, with prior training at a top-tier law firm.
- Industry Knowledge: Expertise in the Investment Advisers Act, CFTC/NFA frameworks, Cayman SPCs, and global fund regulations.
- Technical Skills: Skilled in negotiating SMA, side-letter, ISDA, and prime brokerage agreements with expertise in compliance systems and regulatory frameworks.
- Skills & Attributes: Strategic legal advisor with strong communication, negotiation, and leadership skills, adept at navigating regulatory complexity and supporting large-scale operations.
