Job Overview – Corporate Paralegal:
Compensation: $80,000 – $90,000/year + bonus
Location: Seattle, WA
Schedule: Monday to Friday (In-Office)

In this in-office role, you will manage entity records, prepare resolutions, and handle statutory filings for corporations, partnerships, and LLCs. You’ll support acquisitions, dispositions, refinances, and joint ventures while maintaining accurate corporate records. This is an excellent opportunity for a motivated paralegal with strong entity management experience to excel in a fast-paced corporate environment.

Responsibilities as the Corporate Paralegal:

  • Entity Maintenance: Manage corporate records, maintain minute books, and prepare annual resolutions for corporations and LLCs.
  • Regulatory Filings: Prepare and file Annual Reports and statutory filings across domestic and foreign jurisdictions for parent and subsidiary entities.
  • Transaction Support: Assist with acquisitions, dispositions, refinances, and joint ventures by reviewing closing materials and updating records.
  • Document Review: Review operating agreements, management agreements, and ancillary agreements to ensure compliance and accuracy.
  • Record & Administrative Management: Maintain electronic records, update entity and property lists, and provide support with proofreading, redlining, and correspondence.

Qualifications for the Corporate Paralegal:

  • Education: Bachelor’s degree required (Corporate Paralegal certificate highly preferred).
  • Experience: 1-4 years as a Corporate Paralegal in a law firm or corporate legal department, with financial services or family office experience preferred.
  • Technical Skills: Proficient in Microsoft 365 Suite, Adobe, and legal document management systems, with strong attention to detail in electronic filing.
  • Industry Knowledge: Solid understanding of entity management, statutory filings, and maintaining corporate records across multiple jurisdictions.
  • Skills & Attributes: Highly organized, detail-oriented, and able to manage competing priorities with professionalism and discretion.
