Job Overview – Associate General Counsel (Real Estate):
Step into a key legal role with our real estate client as an Associate General Counsel (AGC) in New York, NY. This hybrid position is ideal for a seasoned legal professional with expertise in financial services, structured finance, regulatory compliance, and asset management. Reporting to the Chief Legal Officer, you will oversee legal matters related to mortgage REITs, securities transactions, financing structures, and corporate governance while working closely with senior leadership, external counsel, and cross-functional teams.
Compensation: $200,000 – $250,000/year base ($300,000 – $350,000 All-In)
Location: New York, NY
Schedule: Monday to Friday (Hybrid)
Responsibilities as the Associate General Counsel (Real Estate):
- Regulatory Compliance: Ensure SEC, FINRA, FinCEN, and CFTC compliance for mortgage REIT operations.
- Financial Services & Trading Support: Manage bank counterparty relationships, trading agreements, and KYC compliance.
- Mortgage & Asset Transactions: Oversee purchases, sales, and financing of mortgage loans, securities, and structured finance deals.
- Securitizations & Structured Finance: Handle asset-backed securitizations, trust agreements, and compliance with 17g-5 regulations.
- Corporate Transactions & Risk Management: Support M&A, joint ventures, and due diligence while enhancing legal processes.
- Contract Drafting & Review: Negotiate NDAs, vendor contracts, technology agreements, and corporate policies.
Qualifications for the Associate General Counsel (Real Estate):
- Education & Licensure: Juris Doctor (JD) from an ABA-accredited law school required, with admission to practice law in New York.
- Experience: 5-7 years of legal experience, including 4+ years at a top-tier law firm; in-house experience in mortgage REITs, banking, or structured finance is a plus.
- Industry Expertise: Strong knowledge of structured finance, mortgage-backed securities, mortgage REIT regulations, capital markets, and financial services law.
- Technical Proficiency: Experience with securitizations, structured finance transactions, ISDA agreements, warehouse lending, and repurchase agreements.
- Regulatory Knowledge: Familiarity with SEC, FINRA, FinCEN, CFTC, and corporate governance requirements.
- Skills & Attributes: Strong negotiation, problem-solving, and strategic thinking skills with the ability to collaborate and communicate complex legal matters to executives and stakeholders.
