Job Overview – Assistant General Counsel (Institutional Asset Management):
Atlantic Group is hiring an Assistant General Counsel (Institutional Asset Management) for our client’s legal team in New York, NY (Hybrid). This role is ideal for a seasoned attorney with expertise in private funds, institutional investments, and financial regulations. You will provide legal counsel on fund structuring, investment advisory services, and securities regulations, ensuring compliance while collaborating with global legal and compliance teams.

Compensation: $180,000 – $220,000/year + bonus
Location: New York, NY
Schedule: Monday to Friday (Hybrid)

Responsibilities as the Assistant General Counsel (Institutional Asset Management):

  • Fund Structuring & Advisory: Provide legal counsel on private fund formation, structuring, and operations.
  • Investment Agreements: Negotiate and advise on investment advisory agreements for institutional clients.
  • Product Development & Compliance: Guide structuring, regulatory adherence, and global distribution of investment products.
  • Contract Negotiation: Draft and negotiate agreements with service providers, counterparties, and clients.
  • Regulatory Oversight: Ensure compliance with the Investment Advisers Act, Investment Company Act, Securities Act, and ERISA.
  • Legal & Client Engagement: Review RFPs, client materials, and marketing documents while managing external counsel.

Qualifications for the Assistant General Counsel (Institutional Asset Management):

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Licensure: Active New York Bar admission required.
  • Experience: 3-5+ years of legal experience in institutional asset management, private funds, or investment advisory services, within a large law firm or financial institution.
  • Regulatory Knowledge: Strong understanding of the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and ERISA.
  • Legal & Contract Expertise: Proven ability to draft, negotiate, and review complex legal agreements and investment contracts.
  • Skills & Attributes: Strong communication skills for advising senior management, with excellent organization and leadership in fast-paced environments.
