Job Overview – General Counsel (Investment Management)
Compensation: $200,000 – $300,000/year base ($500,000 All-In)
Location: Stamford, CT
Schedule: Monday to Friday (In-Office)
Atlantic Group is hiring a General Counsel (Investment Management) in Stamford, CT for our client. This senior legal leadership role oversees investment adviser regulation, private fund legal matters, and structured credit transactions across an SEC-registered platform. You will advise executive leadership on fund formation, governance, regulatory strategy, mortgage finance, and enterprise legal risk.
Responsibilities as the General Counsel (Investment Management):
- Legal & Regulatory Oversight: Lead legal and regulatory matters for the investment platform, ensuring compliance with applicable securities laws and industry regulations.
- Compliance & Risk Advisory: Advise leadership on compliance strategy, regulatory developments, governance, and legal risk across the business.
- Fund Structuring & Documentation: Oversee fund formation, investment structuring, and the drafting and negotiation of core fund and investor documentation.
- Transactional Counsel: Support complex financing, investment, and commercial transactions while reviewing and negotiating key legal agreements.
- Strategic Legal Leadership: Serve as a trusted advisor to executive leadership on business initiatives, corporate matters, and external legal relationships.
Qualifications for the General Counsel (Investment Management):
- Education: Juris Doctor (JD) from an accredited law school is required.
- Certification: Active bar membership in good standing is required.
- Experience: 10+ years of legal experience within investment management, private funds, structured credit, mortgage finance, or related financial services is required.
- Industry Knowledge: Strong knowledge of the Investment Advisers Act of 1940, SEC regulatory frameworks, private fund structures, and structured finance is required.
- Technical & Leadership Skills: Demonstrated experience drafting and negotiating complex legal agreements, advising executive leadership, managing outside counsel, and supporting governance matters is required.
- In-House Experience: Prior in-house legal experience within an RIA, credit fund, mortgage platform, mortgage REIT, or similar environment is strongly preferred.
- Skills & Attributes: Strong business judgment, executive presence, negotiation skills, and the ability to balance legal risk with commercial practicality are essential.
