Compensation: $200,000 – $300,000/year base ($400,000 – $500,000 All-In)

Schedule: Monday to Friday (Hybrid)

Join our client as Vice President, Legal (Structured Credit & Transactional Attorney) in New York, NY (Hybrid), advising on structured credit, commercial real estate lending, and alternative investment transactions. In this role, you will manage contract negotiation, due diligence, regulatory compliance, and documentation for complex financial deals. You will partner with investment, operations, and compliance teams to provide legal guidance on structured finance, credit investments, and new product launches within a fast-paced asset management environment.

Responsibilities as the Vice President, Legal (Structured Credit & Transactional Attorney):

  • Contract Negotiation: Prepare, review, and negotiate agreements with investment managers, banks, service providers, and vendors.
  • Structured Finance & Lending: Draft and negotiate documentation for structured credit, commercial real estate lending, and other investment transactions.
  • Due Diligence & Legal Analysis: Conduct research, review transaction documentation, and provide strategic legal guidance.
  • Product & Fund Support: Advise on new product launches and update fund documentation as needed.
  • Regulatory & Compliance: Monitor legal developments in structured finance, securities law, and related regulations.
  • Transactional & Dispute Support: Negotiate ISDA, MRA, and other agreements, and assist with litigation or regulatory matters.

Qualifications for the Vice President, Legal (Structured Credit & Transactional Attorney):

  • Education: Juris Doctor (JD) from an accredited law school required.
  • Licensure: Admitted to the New York State Bar in good standing.
  • Experience: 6+ years of legal experience in a top-tier law firm or as in-house counsel, specializing in structured credit and commercial real estate lending.
  • Technical Skills: Skilled in interpreting commercial real estate loan documents, securitization agreements, indentures, pooling and servicing agreements, and related investment contracts.
  • Industry Knowledge: Strong understanding of securities law, financial markets, and investment instruments across public and private markets.
  • Skills & Attributes: Strong negotiation, drafting, and communication skills with the ability to manage complex legal matters and work collaboratively with integrity and sound judgment.
