Job Overview – Paralegal/Corporate Secretary:
Step into a vital role with our client as a Paralegal/Corporate Secretary in New York, NY. This in-office position will focus on supporting corporate governance functions, maintaining legal entity records, and ensuring seamless coordination of legal processes. You will collaborate with internal teams and external entities to manage corporate documentation, ensure compliance, and handle critical legal and administrative responsibilities.

Compensation: $115,000 – $125,000/year + bonus
Location: New York, NY
Schedule: Monday to Friday (In-Office)

Responsibilities as the Paralegal/Corporate Secretary:

  • Corporate Governance: Draft and manage board meeting agendas, resolutions, minutes, certificates, and related documentation.
  • Record Maintenance: Maintain corporate governance records and legal entity information using a legal entity management database.
  • Entity Formation: Assist with forming and dissolving legal entities, including corporations, LLCs, and partnerships, and file necessary documents with state agencies.
  • Documentation & Processes: Manage apostille processes, ensure proper execution of legal agreements, and handle KYC/AML requests.
  • Compliance Support: Coordinate with internal and external stakeholders to ensure compliance with corporate governance standards and regulations.
  • Ad Hoc Projects: Perform related tasks and support additional projects as needed to enhance legal and corporate operations.

Qualifications for the Paralegal/Corporate Secretary:

  • Education: Bachelor’s degree in Legal Studies, Business Administration, or a related field required.
  • Experience: 3-4 years of experience in a corporate secretary or legal assistant role, ideally within an investment manager, law firm, or financial services firm, with corporate governance exposure.
  • Technical Skills: Proficiency in legal entity management databases and Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Skills: Proven confidentiality, strong organizational and communication skills, professionalism, and adaptability to manage shifting demands and tight deadlines efficiently.
  • Preferred: Experience with KYC/AML processes and familiarity with corporate governance best practices are a plus.
