Transaction Tax Counsel

Responsibilities

 

  • Assist with negotiating and oversee tax aspects of new investments, which may include complex acquisition transactions; loan originations; joint ventures; royalty and structured finance transactions (e.g., preferred equity and convertible debt); infrastructure special situations transactions; acquisitions and dispositions of loans and bonds in the secondary market; purchases and sales nonperforming loans.
  • Assistance with tax considerations related to managing existing investments, including exiting investments, loan modifications, restructuring of the capital structure of portfolio companies and working with deal teams.
  • Review of transaction documentation for tax considerations.
  • Assist as necessary with deal-execution, including structure implementation, entity formation, and transaction documentation.
  • Monitor outside counsel relationships and work with outside counsel in connection with the foregoing.
  • Monitor changes to U.S. and non-U.S. tax reporting laws, rules and regulations applicable to existing and future funds and helping to assess the potential impact on the company’s transactions.

 

Requirements

 

  • Licensed Attorney
  • Candidates should possess specific focus or understanding of M&A Tax from either: a minimum of 5-8 years U.S. tax experience at a law firm or a minimum of 7-9 years U.S. tax experience at a nationally recognized accounting firm.
  • Candidates should have broad familiarity with complex financial transactions, tax structures, and cross-border transactions.
  • Significant experience leading and managing teams and large-scale projects.
  • Eager to learn new concepts and demonstrate ability to master complex tax concepts
  • Candidate must be self-motivated and willing to work in a team environment across multiple offices, managing service providers in various locations
  • Able to exercise good judgment in decision making and managing tax risks
